What These Terms Cover
For purposes of these terms, “Kirenya” refers to Kirenya LLC and the Kirenya publication/studio.
Paid subscriber materials — including prompts, templates, visual materials, AI cowork kits, examples, and related resources — are offered for creative, educational, informational, and practical use.
The Workshop and Other Kirenya Rooms
The Workshop is the room for usable paid subscriber materials. Prompts, templates, visual materials, cowork kits, and tools made available to paid subscribers in The Workshop are offered as working resources, subject to these terms. They may be used, adapted, tested, and incorporated into a subscriber’s own personal, creative, professional, internal business, or client-service work.
Other Kirenya rooms work differently. Essays, stories, Gallery posts, Studio Log posts, Reader Guide & Orientation posts, pen-name rooms, images, audio, video, and other Kirenya works outside The Workshop are not automatically licensed for reuse. They remain governed by Kirenya’s general Copyright & Other Notices unless a specific post or product license says otherwise.
General Working Resources, Not Professional Advice
Workshop materials are general working resources, not legal, financial, tax, medical, therapeutic, employment, compliance, or other professional advice. Access to these materials does not create a client, consulting, advisory, fiduciary, or professional-service relationship with Kirenya or its creator.
Tools, Platforms, and Subscriber Responsibility
Subscribers are responsible for reviewing, adapting, testing, and deciding whether any material is appropriate for their own use. AI-generated outputs may vary, may contain errors, and may require human review, revision, and verification. No specific outcome, result, income, performance, suitability, accuracy, platform behavior, or tool performance is promised or guaranteed.
Subscribers are responsible for complying with the terms, policies, privacy settings, and usage limits of any third-party tools or platforms they use with these materials. Materials may become outdated as tools, platforms, models, laws, and practices change. Kirenya may update materials at its discretion but has no obligation to do so.
How Workshop Materials May Be Used
Workshop materials may be used by paid subscribers for personal, creative, professional, internal business, or client-service purposes, provided the materials are incorporated into the subscriber’s own work.
Workshop materials may not be resold, redistributed, sublicensed, publicly posted or distributed as standalone materials or reusable resources, repackaged, or offered as standalone products, prompt databases, templates, courses, training materials, commercial toolkits, shared GPTs, public prompt libraries, public agents, bots, asset packs, or similar resources without written permission.
Subscribers may publish or share finished works that incorporate Workshop materials under these terms. The restriction above applies to posting, sharing, selling, or distributing the Workshop materials themselves as standalone materials or reusable resources.
Kirenya’s Retained Rights
Kirenya retains full ownership of The Workshop materials. Paid subscriber access grants a non-exclusive license to use the materials under these terms; it does not limit Kirenya’s ability to use, adapt, expand, publish, sell, license, or incorporate the materials into future posts, products, Studio Editions, services, publications, or collections.
Outputs Created with Workshop Materials
Outputs created with these materials are the subscriber’s responsibility and remain subject to applicable laws, third-party rights, and the terms, limits, and rights structures of the tools and platforms used.
Feedback and Suggestions
Subscribers may share feedback, suggestions, requests, or use cases for The Workshop. Kirenya may consider, adapt, or develop ideas in response to those signals, but feedback does not create any obligation, ownership interest, attribution requirement, compensation right, or promise that a suggestion will become a post, product, or service.
Confidential Information
Subscribers should not submit or share confidential, proprietary, legally sensitive, personal, client, or regulated information in Kirenya comments, replies, community spaces, or third-party AI tools unless they have the right to do so and understand the relevant privacy and data-use terms.
Additional Terms
By accessing or using paid subscriber materials, you agree to use them in accordance with The Workshop Materials: Use, License & Terms, to the fullest extent permitted by applicable law.
Indemnification
To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Kirenya, its creator, owners, affiliates, and representatives from and against claims, losses, damages, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:
your misuse of the paid subscriber materials;
your breach of these terms;
your unauthorized resale, redistribution, republication, sublicensing, uploading, sharing, or repackaging of the materials;
your violation of third-party rights;
your unlawful, misleading, unauthorized, or rights-violating use of outputs created with these materials;
your submission, disclosure, or use of confidential, proprietary, personal, client, legally sensitive, or regulated information without appropriate rights or permissions.
This section does not require you to indemnify Kirenya for claims caused by Kirenya’s own willful misconduct or for any liability that cannot be limited under applicable law.
Governing Law
These terms are governed by the laws of the State of New York, without regard to conflict-of-law principles, except where applicable law requires otherwise. Federal intellectual-property claims remain governed by applicable federal law.
Dispute Resolution
If a dispute arises relating to these materials or terms, the parties agree to first attempt to resolve the matter in good faith by written notice and informal discussion.
If the dispute is not resolved within thirty days after written notice, either party may pursue available legal remedies in a court of competent jurisdiction located in the State of New York, except where applicable law requires otherwise.
Nothing in this section limits either party’s ability to seek emergency, equitable, or injunctive relief to protect intellectual property, confidential information, platform access, account security, or other rights.
Updates
Kirenya may update these terms from time to time. Updated terms apply to materials accessed or used after the updated terms are posted, except where applicable law requires otherwise.
Severability
If any part of these terms is found unenforceable, the remaining terms remain in effect to the fullest extent permitted by law.
